Agreement to Terms
You agree to these Terms when you visit or use the Services, submit a demonstration request, contact us through the website, or otherwise interact with the Services.
If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization, and references to “you” include that organization.
What the Services Provide
East River Automation provides information about commercial robotics, autonomous floor-cleaning equipment, facility evaluation, deployment planning, maintenance, service, and related offerings. The website also lets prospective customers contact us and request a demonstration.
We may update, suspend, or discontinue any part of the Services at any time. Website availability and response times are not guaranteed.
Commercial Engagements
Website content and preliminary conversations are informational and do not create a purchase, rental, maintenance, warranty, deployment, partnership, agency, or other commercial agreement.
Any equipment sale, rental, demonstration, site assessment, installation, deployment, training, maintenance, repair, warranty, financing, or continuing support arrangement will be governed by a separate written agreement, quote, order, or applicable manufacturer terms.
Submitting a demonstration request does not obligate you to buy equipment and does not obligate us to provide equipment or services.
Equipment and Site Information
Robot specifications, images, capabilities, availability, compatibility, and use cases may be based on manufacturer materials and may change. A robot’s suitability depends on the facility, floor conditions, traffic, route, utilities, staffing, operating schedule, maintenance, and other site-specific factors.
Website information is not a guarantee of performance, savings, labor reduction, regulatory compliance, availability, service coverage, or fitness for a particular facility. Final decisions should be based on current documentation and a site-specific evaluation.
Your Information and Communications
When you submit a form or contact us, you agree to provide information that is accurate, lawful, and reasonably necessary for your request. Do not submit confidential, regulated, or sensitive information unless we specifically request it through an appropriate channel.
You authorize us to respond using the contact information you provide. Operational, legal, security, and inquiry-related communications are not promotional messages.
Acceptable Use
- Do not use the Services in violation of law or these Terms.
- Do not interfere with the website, security controls, networks, forms, or infrastructure.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WEBSITE CONTENT IS GENERAL INFORMATION AND IS NOT LEGAL, FINANCIAL, TAX, SAFETY, ENGINEERING, OR REGULATORY ADVICE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAST RIVER AUTOMATION, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE ONLINE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) US $100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
Indemnification
You will defend, indemnify, and hold harmless East River Automation, its affiliates, and their respective officers, directors, employees, contractors, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Services, violation of these Terms, violation of law, or violation of third-party rights.
Dispute Resolution; Arbitration; Class-Action Waiver
Before filing a claim, you agree to contact us at hello@eastriverautomation.com and attempt to resolve the dispute informally for at least 30 days.
Except for disputes that qualify for small-claims court, claims seeking only injunctive relief for alleged unlawful use of intellectual property, or claims that applicable law says cannot be arbitrated, disputes arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. The Federal Arbitration Act governs this section.
Arbitration will be conducted by a single arbitrator with a seat in New York, New York, unless applicable law or the arbitration rules require otherwise. Relief may be awarded only on an individual basis.
You and East River Automation agree to bring claims only in an individual capacity and not as a plaintiff or class member in a class, collective, consolidated, private-attorney-general, or representative proceeding.
You may opt out of arbitration by sending written notice to East River Automation, 135 W 20th Street, New York, NY 10011, within 30 days after first accepting these Terms. Include your name, contact information, and a clear statement that you opt out of arbitration.
Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Except where arbitration applies, the state and federal courts located in New York County, New York will have exclusive jurisdiction, and you consent to personal jurisdiction there.
Changes and Miscellaneous
We may update these Terms by posting a revised version and changing the effective date. Your continued use after the effective date means you accept the revised Terms.
If a provision is held invalid or unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a corporate transaction or by operation of law.
